These Terms of Service ("Terms") govern your engagement with Adimis ("we," "us," or "our") for software development services. By engaging our services or using our website, you agree to these Terms.
Adimis provides elite software engineering services including full-stack development, AI systems, and ongoing engineering support through flexible engagement models.
Service Offerings
Full-Stack Product Engineering
- Complete product development from requirements to deployment
- Architecture design and technical specifications
- Backend and frontend development
- CI/CD pipeline setup and infrastructure as code
- Testing, monitoring, and documentation
AI & Automation Systems
- Custom AI agents and RAG pipelines
- Multi-agent orchestration systems
- Business workflow automation
- Ongoing tuning and performance optimization
Senior Engineering Subscriptions
- Continuous engineering support and guidance
- Regular standups, demos, and progress reviews
- Bug fixes, small features, and maintenance
- On-call support and monitoring
Engagement Models & Pricing
Time & Materials (Preferred)
- Starting rate: $15 USD per hour
- Weekly billing cycle
- Pay-as-you-go with no long-term commitments
- Flexible scope adjustments during development
Fixed-Scope Projects
- Defined deliverables with upfront project estimates
- Single project price agreed before work begins
- Detailed scope documentation and milestone tracking
- Change requests handled via separate estimates
Maintenance Subscriptions
- Post-delivery ongoing support and optimization
- Monthly or quarterly subscription models
- Includes performance tuning, bug fixes, and small features
Payment Terms
- Time & Materials: Weekly invoicing, payment due within 15 days
- Fixed Projects: Payment schedule defined in project agreement
- Subscriptions: Monthly advance payment
- Discovery Calls: Free 30-minute consultations
- Late Payments: 1.5% monthly service charge after 30 days
- Currency: All prices in USD unless otherwise specified

Communication
- Regular standups (daily, weekly, or bi-weekly as agreed)
- Progress demos and milestone reviews
- Email updates and technical documentation
- Direct communication with the lead engineer
Development Standards
- Clean, documented, and maintainable code
- Automated testing and quality assurance
- Version control and code review processes
- Security best practices and compliance
Intellectual Property
Client-Owned Work Product
Upon full payment, you own all custom code, documentation, and deliverables specifically created for your project.
Pre-Existing & General Knowledge
- Adimis retains ownership of pre-existing intellectual property
- General methodologies, frameworks, and techniques remain our property
- Open-source components retain their original licenses
Portfolio & Case Studies
We may showcase non-confidential aspects of projects in our portfolio, with client approval for specific details.
Confidentiality
- All client information treated as confidential
- Secure handling of sensitive data and business information
- Non-disclosure maintained for competitive and proprietary details
- Separate confidentiality agreements available for enhanced protection
Termination & Cancellation
Time & Materials Projects
- Either party may terminate with 1 week written notice
- Payment due for all work completed through termination date
- Deliverables provided for all paid work
Fixed-Scope Projects
- Termination requires mutual agreement or material breach
- Payment based on completed milestones and work-in-progress
- 30-day cure period for non-payment issues
Data Transition
Upon termination, we provide complete handover of code, documentation, and access credentials within 30 days.
Warranties & Limitations
Service Warranties
- Services performed with professional skill and care
- Code delivery meets agreed specifications
- 90-day warranty on custom development work
- Prompt resolution of defects and issues
Limitations of Liability
Our liability is limited to the total amount paid for services in the 12 months preceding any claim. We are not liable for indirect, consequential, or business interruption damages.
External Dependencies
We are not responsible for third-party service outages, API changes, or external factors beyond our reasonable control.
Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or technical infrastructure failures.
Dispute Resolution
- Good faith negotiation for all disputes
- Mediation before formal legal proceedings
- Governing law as applicable to service provider jurisdiction
- Exclusive jurisdiction in courts of service provider location
Modifications
These Terms may be updated periodically. Significant changes will be communicated with 30 days notice. Continued use of services after changes constitutes acceptance.
Project-specific terms in signed agreements take precedence over these general Terms.
