Terms of Service

These Terms of Service ("Terms") govern your access to and use of adimis.in (the "Site") and the public-facing materials and contact channels published on it by Aditya Mishra (operating as "Adimis", "we", "us", or "I"). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.

Paid engagements are governed by a separate written agreement (Master Services Agreement and / or Statement of Work) - those documents take precedence over these Terms for any conflict relating to a paid engagement.

1. Who you are contracting with

The Site is operated by Aditya Mishra, an independent engineering practice based in India operating under the trade name "Adimis". References to "Adimis" in marketing copy refer to this practice. There is no separate legal entity unless and until expressly stated in a written engagement agreement.

2. Eligibility

You must be at least 18 years old and capable of entering a legally binding contract to use the Site for any commercial purpose. By contacting me through the Site you represent that you meet these conditions and, if contacting on behalf of an organisation, that you are authorised to bind it.

3. Nature of the services offered

The Site describes professional software engineering services (collectively, "Services") including but not limited to: production AI systems and internal automation, full product builds (web, mobile, desktop), Graph RAG and AI cost optimization, and codebase rescue and scaling.

AI Output Disclaimer: As of 2026, it is standard industry practice to acknowledge that AI systems, while powerful, may produce "hallucinations" or biased outputs. For any Services involving Generative AI or LLMs, Aditya Mishra provides systems configured to best-practice safety standards, but the client remains responsible for the final verification, deployment, and legal compliance of AI-generated content or decisions.

Marketing claims, case-study metrics, and FAQ answers on the Site are illustrative. They are not warranties or guarantees of outcomes for any future engagement.

4. Engagement process & pricing

Pricing is determined per engagement after a written scoping conversation, and is not published on the Site. After scoping, a written proposal is sent containing scope, milestones, fees, payment schedule, intellectual-property assignment, confidentiality terms, exit terms and governing law. No engagement is created and no fees are owed until both parties sign that agreement.

5. Acceptable use of the Site

You agree not to:

  • Use the Site for any unlawful purpose or in breach of these Terms;
  • Submit false, misleading or impersonating information through the contact form;
  • Attempt to interfere with the operation of the Site, including by scraping at unreasonable rates, probing for vulnerabilities without authorisation, or bypassing rate-limit / honeypot mechanisms;
  • Use the Site to send spam, malware, or to harvest data;
  • Reverse engineer, decompile or copy substantial portions of the Site for competitive purposes.

Authorised security research is welcomed; please coordinate disclosure by emailing aditya.mishra@adimis.in before testing.

6. Intellectual property & AI Compliance

6.1 Site content

All text, graphics, source code, layout, design, and other materials on the Site are owned by Aditya Mishra or licensed for use.

6.2 Engagement deliverables & EU AI Act

For paid engagements, intellectual-property ownership is determined by the signed agreement.

EU AI Act (Art. 53): Aditya Mishra complies with EU copyright standards for General Purpose AI (GPAI) model selection. I maintain documentation of the data sources and training summaries for any custom models developed, ensuring transparency and respect for European copyright law as required in 2026.

7. Confidentiality & NDAs

Information submitted through the contact form is treated as confidential and used only to respond to your enquiry and, if an engagement follows, to deliver the Services. I am willing to sign a client-supplied NDA before the first technical call; if no NDA is signed, I still treat enquiry contents as confidential to the extent consistent with applicable law.

8. Third-party links and content

The Site may contain links to third-party websites, repositories or services. These are provided for convenience. Aditya Mishra does not control and is not responsible for the content, accuracy, privacy practices or availability of any third-party site. Your use of those sites is at your own risk and subject to their terms.

9. Disclaimers & Third-Party AI

The Site is provided "as is" and "as available".

Third-Party API & Costs: Engagements involving AI typically rely on third-party providers (e.g., Anthropic, OpenAI, Pinecone, LangSmith). Use of these services is subject to their respective terms and usage costs, which are the responsibility of the client unless expressly included in a fixed-fee SOW.

US State AI Regulations: I acknowledge the evolving patchwork of US state AI laws (including the Colorado AI Act effective June 2026). Deployments designated as "high-risk" under these frameworks require a separate, rigorous compliance assessment before delivery.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall Aditya Mishra be liable to you for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, business or goodwill, arising out of or in connection with your use of the Site, even if advised of the possibility of such damages. The aggregate liability of Aditya Mishra arising out of or relating to your use of the Site (and not arising out of a separate, signed engagement agreement) shall not exceed the greater of (a) the total amount you have paid Aditya Mishra in the twelve (12) months preceding the claim, or (b) INR 10,000 / USD 100. This clause does not limit liability that cannot be limited under applicable law (such as gross negligence, fraud, or wilful misconduct).

11. Indemnity

You agree to indemnify and hold Aditya Mishra harmless against any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your misuse of the Site, or (c) your violation of any law or third-party right in connection with your use of the Site.

12. Termination of access

Aditya Mishra may suspend or terminate your access to the Site at any time, without notice, for conduct that violates these Terms or applicable law, or for operational or security reasons. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnity, governing law) will survive.

13. Governing law & jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. Subject to mandatory consumer-protection rules in your country of residence, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site. For paid engagements, the governing-law clause in the signed engagement agreement controls.

14. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Aditya Mishra regarding use of the Site.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
  • No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
  • Assignment. You may not assign these Terms. Aditya Mishra may assign them in connection with a corporate reorganisation or sale of the practice.
  • Force majeure. Neither party is liable for delays caused by events beyond reasonable control.

15. Changes to these Terms

I may update these Terms to reflect changes in law, technology, or business practice. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be announced on the Site at least 14 days before they take effect. Continued use of the Site after the effective date constitutes acceptance of the revised Terms.

For commercial engagements, both parties should review and negotiate the engagement-specific MSA / SOW with their own legal counsel.
